SERVICE.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you

("User," "you," or "your") and Agent Max ("Company," "we," "our," or "us") governing your access to and

use of the Agent Max desktop application and website at agentmax.app (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be

bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are

posted constitutes acceptance of the modified Terms.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirement

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age,

you must have permission from a parent or legal guardian and use the Service under their supervision.

2.2 Account Registration

To access certain features, you must register for an account by providing:

- Accurate, current, and complete information

- A valid email address

- Secure account credentials

2.3 Account Security

You are responsible for:

- Maintaining the confidentiality of your account credentials

- All activities that occur under your account- Notifying us immediately of any unauthorized access or security breach

2.4 Account Termination by User

You may terminate your account at any time by contacting support or using the account deletion feature

within the Service.

3. LICENSE AND RESTRICTIONS

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable,

revocable license to:

- Download and install the Agent Max application

- Use the Service for personal or internal business purposes

3.2 Restrictions

You agree NOT to:

- Reverse engineer, decompile, or disassemble the Service

- Modify, adapt, or create derivative works of the Service

- Remove, alter, or obscure any copyright, trademark, or proprietary notices

- Use the Service for any illegal or unauthorized purpose

- Distribute, sublicense, or transfer your license to any third party

- Attempt to gain unauthorized access to our systems or networks

- Use the Service to violate any applicable laws or regulations

- Upload or transmit viruses, malware, or other malicious code

- Interfere with or disrupt the Service or servers

- Impersonate any person or entity or misrepresent your affiliation

- Collect or harvest information about other users without consent

- Use the Service to send spam, advertisements, or unsolicited communications

- Use automated systems (bots, scrapers) to access the Service without permission3.3 Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are owned by

Agent Max or its licensors. These Terms do not grant you any ownership rights to the Service.

4. SUBSCRIPTION AND PAYMENT TERMS

4.1 Subscription Plans

The Service may offer various subscription tiers with different features and pricing. Current plans and

pricing are available on our website.

4.2 Payment

- Subscription fees are billed in advance on a recurring basis (monthly, annually, or as specified)

- Payment is processed through third-party payment processors (Stripe)

- All fees are non-refundable except as required by law or as expressly stated

- You authorize us to charge your payment method for all fees incurred

4.3 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Price changes will not

affect your current billing cycle but will apply to subsequent renewals.

4.4 Free Trials and Promotional Offers

We may offer free trials or promotional pricing. These offers:

- Are subject to the terms specified at the time of the offer

- May be limited to one per user or household

- May require payment information and will auto-convert to paid subscriptions unless cancelled

4.5 Cancellation and Refunds

- You may cancel your subscription at any time

- Cancellation takes effect at the end of your current billing period

- No refunds will be provided for partial subscription periods

- Upon cancellation, you may lose access to premium features4.6 Late Payments and Suspension

If payment fails:

- We may suspend your access to premium features

- We may terminate your account after reasonable attempts to collect payment

- You remain liable for all unpaid amounts

5. USER CONTENT AND DATA

5.1 User Content

You retain ownership of any content, data, or information you submit to the Service ("User Content").

By submitting User Content, you grant us:

- A worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content

solely to provide and improve the Service

- The right to use anonymized, aggregated data derived from your User Content for research, analytics,

and product improvement

5.2 User Content Restrictions

You represent and warrant that your User Content:

- Does not violate any laws, regulations, or third-party rights

- Does not contain viruses, malware, or other harmful code

- Does not infringe intellectual property rights

- Does not contain defamatory, obscene, or offensive material

- Does not violate privacy rights or contain personal information of others without consent

5.3 Prohibited Content

You may not upload or submit:

- Illegal, fraudulent, or deceptive content

- Content that promotes violence, hatred, or discrimination

- Sexually explicit or pornographic material- Personal information of minors

- Confidential or proprietary information without authorization

- Content that violates export control laws

5.4 Content Monitoring and Removal

We reserve the right, but have no obligation, to:

- Monitor User Content for compliance with these Terms

- Remove or disable access to any User Content that violates these Terms

- Cooperate with law enforcement regarding illegal content

5.5 Backup Responsibility

You are solely responsible for maintaining backups of your User Content. We are not liable for any loss

or corruption of User Content.

6. AI AND AUTOMATED FEATURES

6.1 AI Services

Agent Max uses artificial intelligence and machine learning to provide its services. By using AI features,

you acknowledge that:

- AI-generated outputs may contain errors or inaccuracies

- AI responses are provided "as is" without warranties of accuracy or completeness

- You should verify AI outputs before relying on them for important decisions

- AI processing may involve third-party AI service providers

6.2 Training and Improvement

We may use anonymized, aggregated data from your interactions to:

- Improve AI model performance

- Develop new features

- Enhance user experience

Personal identifiers are removed before data is used for these purposes.6.3 Third-Party AI Providers

We use AI services from OpenAI and other providers. Your use of AI features is also subject to their

- Impersonate individuals or spread misinformation

Agent Max may provide browser automation and screen control capabilities. By using these features:

- You grant permission for the Service to control your browser and screen

- You remain responsible for all actions performed through automation

- You must comply with terms of service of websites you interact with

7.2 Prohibited Automation Uses

You may not use automation features to:

- Violate website terms of service or robots.txt directives

- Scrape or harvest data without authorization

- Automate fraudulent or illegal activities

- Bypass security measures or authentication systems

- Generate spam or abuse online services

8. INTEGRATIONS AND THIRD-PARTY SERVICES8.1 Third-Party Integrations

The Service may integrate with third-party services (Google services, etc.). When you connect these

services:

- You grant us permission to access data as specified during authorization

- You remain bound by the third party's terms of service

- We are not responsible for third-party service availability or functionality

responsibility for third-party content, products, or services.

9. WARRANTIES AND DISCLAIMERS

9.1 Service Availability

We do not guarantee uninterrupted operation, error-free performance, or that defects will be corrected.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY

KIND.

9.3 No Professional Advice

The Service does not provide legal, medical, financial, or other professional advice.

9.4 Beta Features

Beta features may be unstable and may be discontinued at any time.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT MAX IS NOT LIABLE FOR INDIRECT,

INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF

PROFITS, DATA, OR BUSINESS. MAXIMUM LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE PREVIOUS 12 MONTHS

OR $100, WHICHEVER IS GREATER.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Agent Max from claims arising from:

- Use of the Service

- Violations of these Terms

- Violations of laws or third-party rights

- User Content

- Misconduct or negligence

12. TERMINATION

We may suspend or terminate your account for violations, non-payment, fraud, or at our discretion.

Upon termination, your license ends and we may delete your User Content.

13. DISPUTE RESOLUTION

13.1 Informal Resolution

You must attempt informal resolution by contacting support@agentmax.app.

13.2 Arbitration

Unresolved disputes will be resolved by binding arbitration under AAA Consumer Rules.

13.3 Class Action Waiver

You waive any right to participate in class actions.

13.4 Exceptions

Injunctive relief may be sought for IP violations or system breaches.

13.5 Governing Law

These Terms are governed by the laws of New Jersey, USA.

14. GENERAL PROVISIONS

Covers entire agreement, severability, waiver, assignment, force majeure, notices, export compliance,

and government use.
